N4D is a cloud-based strategy execution platform that enables organizations to:

The Service is provided on a fully self-service basis. N4D does not provide hands-on implementation support, data entry assistance, or managed onboarding services. Users are responsible for setting up, configuring, and operating the platform independently. For setup guidance, refer to our Setup Guide.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
All subscription fees are non-refundable, including for partial months or unused periods. We do not provide refunds for any past usage.

All fees are exclusive of applicable taxes (sales tax, VAT, GST, etc.). You are responsible for paying all applicable taxes.
You agree to use the Service only for lawful purposes and in accordance with these Terms.

The Service, including all software, designs, algorithms, and content (excluding Customer Data), is owned by N4D and protected by intellectual property laws.
You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.
If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation or compensation to you.
The Service supports multi-tenant access, whereby a user (e.g., a consultant or external advisor) may be invited to and granted access to multiple separate company accounts ("tenants") within the platform. Users with access to multiple tenants may switch between them without logging out ("Client Switch").
N4D's role is limited to providing the technical functionality that enables this access. N4D does not control, review, or bear any responsibility for:
Access rights, confidentiality, and all agreements governing the sharing of information between a company and an invited user are the sole responsibility of the parties involved. By inviting an external user to your account, you represent that you have the legal authority to do so and have obtained all necessary consents and agreements from that user.
Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time. For significant changes that materially affect your use of the Service, we will provide at least 30 days' prior notice via email or in-app notification. Minor changes (such as bug fixes, UI updates, or performance improvements) may be made without prior notice.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, N4D SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) rules, except as follows:
You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration. If you are a California resident, you acknowledge that this waiver is intended to comply with California Civil Code Section 1751 and applicable law, and that you are waiving the right to a jury trial and to participate in a class action to the fullest extent permitted by law.
The Service may be subject to export control laws and regulations of the United States, including the Export Administration Regulations (EAR) and the sanctions programs administered by the Office of Foreign Assets Control (OFAC). You agree that you will not use, export, re-export, or transfer the Service, directly or indirectly, to any country, entity, or individual in violation of applicable U.S. export control laws and regulations. By using the Service, you represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo, and that you are not on any U.S. government restricted party list.
These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and N4D.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.
We may update these Terms from time to time. Significant changes will be communicated via email or in-app notification at least 30 days in advance.
Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
